Terms of Service.

These Terms of Service ("Terms") govern your access to and use of the Axis platform, including the website at onaxis.app and the Axis iOS application (collectively, "the Service"), operated by Axis, registered in the United Arab Emirates ("Axis", "we", "us").

By submitting an application, activating a membership, or using the Service in any way, you agree to be bound by these Terms. If you do not agree, do not use the Service.

Axis is a private membership network. Access is not guaranteed and is granted solely at our discretion. To apply, you must be at least 18 years of age and provide accurate, complete information in your application.

Submitting an application does not create any right of access or membership. We review every application personally and may accept or decline at our sole discretion, without obligation to give reasons.

If you are accepted, your membership is personal to you and may not be transferred, shared, or assigned to any other person.

Axis offers membership at different tiers, each providing different levels of access to the platform and its features. Your tier is assigned by Axis at the time of acceptance and may be adjusted at our discretion.

Membership is billed annually. Payment is currently accepted in cryptocurrency. Full payment is required before membership is activated. By paying, you confirm that you are authorised to use the payment method provided.

Membership renews annually. You are responsible for ensuring renewal payment is made before your renewal date. Failure to renew will result in your access being suspended until payment is received, or permanently if you choose not to renew.

We reserve the right to change membership pricing at any time. Price changes will be communicated to active members before their next renewal date and will not affect your current membership period.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at legal@onaxis.app if you believe your account has been compromised.

You may not create more than one account. You may not use another member's account or allow another person to use yours.

Axis is built on the expectation that members conduct themselves with discretion and professionalism. By using the Service you agree not to:

We expect members to contribute to the quality of the network. Persistent inactivity — participating in no rooms, events, or Vault contributions over an extended period — may be taken into account at renewal.

What happens in the rooms stays in the rooms. Members agree that conversations, deals, financial discussions, and personal information shared within the platform are confidential and intended solely for members present.

You may not share, quote, screenshot, or otherwise reproduce content from private rooms or direct messages outside the platform without the explicit consent of the person who created it. This obligation survives the termination of your membership.

The confidentiality standard is one of the foundational principles of Axis. Breach of this obligation is treated as a serious violation and will result in immediate termination of membership without refund.

You retain ownership of any content you create on the platform — including posts in rooms, Vault guides you author, and messages you send. By posting content on Axis, you grant us a non-exclusive, royalty-free licence to display, store, and distribute that content to other members as part of operating the Service.

You represent that you own or have the necessary rights to any content you post, and that it does not infringe the intellectual property or other rights of any third party.

We do not claim ownership of your content. We will not use your content for advertising or sell it to third parties.

Content you have posted may remain accessible to other members after your membership ends. If you wish to have specific content removed, contact us at legal@onaxis.app.

We may suspend or permanently terminate your membership at any time if we determine, at our sole discretion, that you have violated these Terms or the standards expected of Axis members.

The following will result in immediate permanent termination without refund:

Membership may also not be renewed — without refund of any unused period — if a member demonstrates persistent inactivity over their membership term, at our discretion.

You may cancel your membership at any time by contacting us. Cancellation takes effect at the end of your current membership period. No refund is issued for any unused portion.

Upon termination, your access to the platform ceases immediately. Your confidentiality obligations under Section 6 survive termination indefinitely.

The Axis name, mark, design, platform, and all proprietary content created by Axis — including the rank system, badge system, and Vault framework — are owned by Axis and protected by applicable intellectual property laws. You may not reproduce, copy, or use any of these without our prior written consent.

The Axis mark and brand identity may not be used in any context that implies endorsement, affiliation, or partnership without our explicit approval.

The Service is provided "as is" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

Axis is a platform for member interaction. We are not responsible for the accuracy, completeness, or legality of content posted by members, nor for any business outcomes, deals, or transactions arising from connections made through the platform.

To the maximum extent permitted by applicable law, Axis shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising from these Terms or the Service shall not exceed the amount you paid for your current membership period.

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates. Any dispute arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of the UAE.

Before initiating any formal dispute process, we encourage you to contact us at legal@onaxis.app to attempt to resolve the matter informally.

We may update these Terms from time to time. When we do, we will revise the date at the top of this page. For material changes, we will notify active members via the app or by email before the changes take effect.

Continued use of the Service after updated Terms take effect constitutes your acceptance of the revised Terms.
